Terms of Service

These Terms describe how Evoques Hospitality Capital offers its advisory services and operates this website. They are general information, not legal advice. Individual mandates are governed by a separately executed engagement letter or statement of work, which controls in the event of conflict.

1. Acceptance

By accessing the Evoques Hospitality Capital website, client portal or analytical platforms (together, the "Service"), you agree to these Terms. If you access the Service on behalf of an entity, you represent that you are authorised to bind that entity.

2. Advisory services

Evoques is a hospitality investment and capital advisory firm serving hotel owners, investors, family offices, private equity firms, developers, lenders and capital partners in the USA, Europe and Middle East. Our divisions are Investment Advisory, Capital Markets, Debt Advisory, Asset Management, and Value Creation & Exit, supported by our Investment Intelligence platform and Mediterranean platform. Scope, fees and deliverables are set out in the applicable engagement letter.

3. Advisory only — no investment advice

  • Nothing on the Service constitutes investment advice, an offer to sell, or a solicitation of an offer to buy any security or interest in any investment vehicle.
  • Evoques does not provide brokerage, tax, accounting, appraisal or legal advice, and is not a registered investment adviser or broker-dealer unless expressly stated in an engagement letter.
  • Advisory activities requiring licensing are performed only in jurisdictions where Evoques or its partners are appropriately licensed.

4. Analytical work product

  • Underwriting, cash-flow and debt models, capital structure options, market commentary, the Hospitality Investment Score and Investment Intelligence Reports are illustrative analytical work product prepared from inputs you supply and third-party data we believe to be reliable but do not independently verify.
  • Any score, projection or valuation range rests on assumptions that may not be realised. Actual results may differ materially.
  • You are responsible for independently verifying material assumptions and engaging qualified legal, tax and accounting advisers before any investment, financing or operating decision.
  • Work product is prepared for the named recipient and may not be redistributed, relied upon by third parties, or included in offering materials without our prior written consent.

5. Client portal, intake and documents

You are responsible for the accuracy and completeness of information and documents you submit through intake forms, the client portal and the Evo assistant, including operating metrics, debt terms and ownership details. You must keep credentials confidential, maintain multi-factor authentication where required, and notify us promptly of suspected unauthorised access.

6. Confidentiality & NDAs

Each party will protect the other's confidential information. Access to deal rooms and demonstration environments may require execution of a non-disclosure agreement; electronic acceptance, together with timestamp and IP metadata, constitutes a binding signature.

7. Vendors, counterparties and introductions

Vendor and partner applications, including pricing schedules, warehousing, lead times, minimums and tax documentation, are submitted for qualification purposes and create no obligation to engage. Introductions to lenders, operators or capital partners are not endorsements, and Evoques is not responsible for the performance of any third party.

8. Performance and results

Investment, financing, operating and marketing outcomes depend on market conditions, asset quality, competitive dynamics, capital availability and client execution. We do not guarantee any specific return, valuation, financing outcome, RevPAR, ADR, occupancy or booking result. Case studies describe prior mandates and are not a promise of future performance.

9. AI-assisted features

Portions of the Service use AI models, including third-party providers, to draft content, summarise documents, translate pages and answer questions. AI output can be incomplete or inaccurate and must be reviewed by you before it is relied upon or distributed.

10. Intellectual property

Evoques retains all rights in its methodologies, models, scoring frameworks, templates and pre-existing materials. Deliverables prepared for you are licensed for your internal use upon payment.

11. Acceptable use

You will not (a) reverse engineer the Service, (b) use it in violation of law or third-party rights, (c) upload malicious code, (d) attempt to access another client's data, or (e) use our work product to mislead investors, lenders, regulators or counterparties.

12. Fees

Fees, retainers, success fees and payment terms are set in the applicable engagement letter. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

13. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Evoques disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law, Evoques' aggregate liability arising out of or relating to the Service will not exceed the fees paid to Evoques for the mandate giving rise to the claim in the twelve (12) months preceding the event. Evoques will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, financing or data.

15. Indemnity

You will indemnify Evoques against third-party claims arising from your misuse of the Service, breach of these Terms, or inaccuracy of information you supplied.

16. Termination

We may suspend or terminate access for breach, security risk or non-payment. Provisions that by their nature should survive — intellectual property, confidentiality, disclaimers, liability and governing law — survive termination.

17. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Exclusive venue is the state or federal courts located in Palm Beach County, Florida, unless an engagement letter specifies otherwise.

18. Changes

We may update these Terms from time to time. Continued use of the Service after a change constitutes acceptance of the revised Terms.
