Terms of Service

These Terms are provided for general information about how Evoques offers its services and operates this website. They are not legal advice. Specific engagements are governed by a separately executed Master Services Agreement or Statement of Work, which controls in case of conflict.

1. Acceptance

By accessing the Evoques website, client portal or analytical tools (collectively, the "Service"), you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

2. Services

Evoques provides hospitality marketing, consultancy (including RFP, Sales & Marketing audits, training), FF&E procurement, and investor-side analytical support (including discounted cash-flow modelling). Scope, fees and deliverables for any engagement are set out in the applicable Statement of Work.

3. Client portal & intake

You are responsible for the accuracy of information you submit through intake forms and the portal, including segment-specific operating metrics. We may use that information to pre-fill internal analyses on your behalf. You must keep credentials confidential and notify us of any suspected unauthorised access.

4. Investor & analytical tools — important disclaimers

  • Discounted cash-flow models, sensitivity analyses, market commentary and other outputs are illustrative analytical work product, prepared on the basis of inputs you provide and third-party data we believe to be reliable.
  • Outputs are not investment, legal, tax, accounting or appraisal advice, are not a recommendation to buy, sell or finance any asset, and are not a solicitation or offer of securities.
  • Projections and assumptions are forward-looking and inherently uncertain. Actual results may differ materially. You should independently verify all material assumptions and engage qualified professional advisors before making investment, financing or operating decisions.
  • Evoques is not a registered investment adviser, broker-dealer or licensed appraiser unless expressly stated in a Statement of Work.

5. Marketing performance

Marketing, revenue-management and e-commerce outcomes depend on market conditions, asset quality, competitor activity and client execution. We do not guarantee specific RevPAR, ADR, occupancy, ROAS or revenue results. Case studies and benchmarks describe past engagements and are not a promise of future performance.

6. AI-assisted features

Portions of the Service use AI models, including third-party model providers, to draft content, summarise documents and answer questions. AI outputs can be incomplete or inaccurate; you are responsible for reviewing them before relying on or distributing them.

7. Confidentiality & IP

Each party will protect the other's confidential information. Unless an engagement says otherwise, Evoques retains all rights in its methodologies, models, templates and pre-existing materials; deliverables prepared for you are licensed for your internal use upon payment.

8. Acceptable use

You will not (a) reverse engineer the Service, (b) use it to violate law or third-party rights, (c) upload malware, (d) attempt to access another client's data, or (e) use outputs to mislead investors, lenders or regulators.

9. Fees

Fees and payment terms are set in the applicable Statement of Work. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

10. Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Evoques disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, Evoques' aggregate liability arising out of or related to the Service will not exceed the fees paid to Evoques for the engagement giving rise to the claim in the twelve (12) months preceding the event. Evoques will not be liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data.

12. Indemnity

You will indemnify Evoques for third-party claims arising from your misuse of the Service, breach of these Terms, or inaccuracy of information you supplied.

13. Termination

We may suspend or terminate access for breach, security risk, or non-payment. Sections that by their nature should survive (IP, confidentiality, disclaimers, liability, governing law) will survive termination.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Exclusive venue is the state or federal courts located in Palm Beach County, Florida, unless a Statement of Work specifies otherwise.

15. Changes

We may update these Terms from time to time. Continued use of the Service after a change constitutes acceptance of the revised Terms.
